About

Summary: • I represent both sponsors and investors in a variety of investment vehicles, including venture capital funds, private credit funds, real estate funds, and SPVs/syndications. GP-Side: • On the GP side, I represent both emerging managers and established sponsors raising nine-figure funds. • I guide sponsors through the entire fund formation process, including entity formation, fund terms, documentation, negotiation, and investor onboarding and communication. • I also help sponsors implement their upper-tier structuring with respect to allocating carried interest and management fees. LP-Side: • On the LP side, I advise institutions and high-net-worth individuals in connection with entity structuring, fund reviews, and LP-side negotiations. Representative Documents • I routinely draft and negotiate documents such as long-form limited partnership agreements and limited liability company agreements, management services agreements, investment contracts, employment agreements, assignments, private placement memorandums, and subscription documents. Other Experience • In addition to my investment fund focus, I also have experience representing clients in the context of technology transactions, SEC and public company compliance, mergers and acquisitions, capital markets, intellectual property, and corporate governance. • I personally invest in real estate, digital assets, securities, commodities, and quality time with my wonderful wife Katia (I'm sure she'll never see this, but you never know 🙂) Posts are opinions, not legal or investment advice. I am not your lawyer!
